    Web Results Direct (WRD) will be supplying various services to the person or organisation named on its invoice and that is the client.  Sometimes we work through a third party such as a web design or PR agency and in those cases, to avoid doubt, the relationship remains between WRD and the third party unless agreed otherwise.  

    The great majority of our relationship is defined in our email correspondence and at all times the word and spirit of those emails define the relationship between us and the client.  Where matters are discussed, it is strongly recommended that these matters are confirmed by email to avoid any doubt.

    WRD will charge what has been agreed and the client agrees to pay us within 30 days of the date of invoice unless agreed otherwise.

    We shall always use all reasonable care and attention to do things as well as we can, and we expect clients to also provide us with the necessary information and items to conduct our services on a timely and efficient basis.

    The time required for regular calls, as well as online and face to face meetings, will be taken from the agreed/available retainer hours each month.

    Should the allocated monthly management time by exceeded on a regular basis, WRD reserves the right to propose a higher retainer fee to cover for the additional time needed.

    If we make a mistake or do something wrong and we accept that mistake, then the liability can never exceed the charges which we have invoiced in respect of those services.

    If you want to stop working with us or we want to stop working with you, then, unless agreed otherwise, SEO services charged at under £3,000 per month require three months’ notice.

    Unless otherwise agreed, SEO services charged at over £3,000 per month require a 12-month contract with a three-month notice period after the initial year.

    Ad-hoc services and website maintenance and hosting services require one months’ notice.

    Unless otherwise agreed, PPC services have a minimum term of 6 months, and require three months’ notice.

    Combined services (e.g. retained SEO and retained PPC) with merged fees over £4,000 per month will require a 12-month contract with a three-month notice period after the first year.  

    If you wish to temporarily pause a service, this may be possible for a limited time period (up to a maximum of 3 months). If you do not then resume after the 3-month pause period, the original notice period will apply, and any associated fees will be charged.

    At the end of the notice period all invoices from WRD must be paid and neither party owe the other party anything.

    If we have to go legal (we’ve never had to since we formed the company in 2001) then we agree to do so in a court based in England and Wales and following those laws.  If third party debt collection costs are incurred on overdue invoices, then the client agrees to indemnify WRD on all reasonable charges associated with that collection.

    If you would prefer to have a more formal legal agreement, then we are happy to instruct solicitors at your cost – but we think that these terms and conditions work much better for both of us.

    PPC-specific Terms & Conditions

    Setup fees (where charged) are generally billed as soon as the work is complete, regardless of when the campaign goes live, or even if the campaign does not go live at all, for whatever reason (unless WRD are responsible for the campaign not going live).

    Setup fees (where charged) will include a total of two rounds of revision, any changes thereafter, other than minor amends, will be chargeable at our current hourly rate, as will any additional work that is not specified in any quotation.

    WRD may charge additional fees (in addition to the setup fees, where relevant) should we have to spend significant time gaining access to existing campaigns, fixing existing tracking issues, implementing new complex tracking, or liaising with previous suppliers in order to enable us to launch campaigns.   

    Management fees will be charged per month from the date the campaign goes live unless otherwise agreed.  Where a campaign goes live part-way through a month, management fees will only be charged for the part of the month the campaign was running.

    The ongoing monthly management fee covers the time spent managing your campaign/s by your Account Manager. The service includes but is not limited to: day to day optimisation, reporting, budget pacing and management, auditing & analysis and comms such as emails and calls.

    WRD can build dedicated campaign landing pages (at an additional cost) if they are required. If the landing pages that are required for the campaign are being provided by the client, WRD reserves the right to provide feedback or request amendments should the landing page/s not be suitable for the campaign.

    WRD can also design dedicated creatives/banner ads. In most cases these are created as part of the campaign build and are covered by our setup fee (or monthly retainer), but should the client require more complex designs or a higher numbers of creatives they will be charged in addition to the standard fees.

    If the dedicated creatives/banner ads that are required for the campaign are being provided by the client, WRD reserves the right to provide feedback or request amendments should the creatives/banner ads not be suitable for the campaign

    Although uncommon, there can be technical issues with advertising platforms such as Google Ads, LinkedIn Ads, Microsoft/Bing Ads etc. These technical issues can include issues with Ad Approvals, Payment Issues or other unforeseen technical issues which can cause adverts to go offline. WRD are unable to accept any liability for issues or delays caused by the ad platforms themselves, or by client’s own actions or bank/payment issues.

    In most cases, WRD require the client’s payment method to be used to cover the click expenditure on the ad account. If the client requests that WRD covers the click expenditure, these costs will be invoiced in advance along with the management fee. Should advance click payments be late or not received, WRD reserves the right to pause or take the campaign/s offline until the outstanding payment/s has been received and cleared.

    The client is responsible for providing WRD with access (or gaining access from any previous PPC agencies/suppliers) to any existing or dormant PPC campaigns/accounts that WRD are expected to take over. This will be required to be completed before WRD will be able to commence work on any agreed campaigns/services.

    Any stated delivery dates are based on all related content (images, logos, copy etc.) being supplied and/or suitable landing pages being created before the project begins. Any delays in providing content, or any changes or additions to the work specified, may mean that delivery/launch dates are also delayed, and/or additional fees being due. Upon cessation of WRD’s management of any campaigns, and the full settlement of any invoices (including any fees covering the notice period), full campaign ownership will be passed to the client (or their suppliers).
